These Terms & Conditions ("Terms") govern your use of adyskoolmedia.shop and the services provided by Adyskool Media, 302, Tower 1, Pyramid Altia, Sector 70A, Gurugram, Haryana 122001, India (Udyam Reg. No. UDYAM-HR-05-0207711). By using the Website or engaging our services, you agree to these Terms.
1. Services
Adyskool Media provides digital advertising and marketing services including social media marketing, paid advertising management, creative production, SEO, website development and lead management. The exact scope, deliverables, timelines and fees for each client are set out in a written proposal, quotation or agreement.
2. Client responsibilities
- Provide accurate business information, content, approvals and access in a timely manner;
- Ensure that products, services and claims to be advertised are lawful, genuine and that the client holds all necessary licences and rights;
- Pay the advertising budget to the ad platforms and our service fees on time.
3. Advertising policies and compliance
All campaigns are created in line with the advertising policies of the respective platforms (including Meta and Google) and applicable Indian law, including the ASCI Code. We reserve the right to refuse or stop any campaign that promotes prohibited, illegal, misleading or harmful products, services or claims. Ad approval and delivery are decided by the platforms, and we are not responsible for their decisions.
We do not create or run advertisements for weapons, tobacco or vaping products, illegal drugs, adult content, gambling without valid licences, multi-level marketing, "get-rich-quick" or guaranteed-income schemes, unproven health claims, counterfeit goods, or any discriminatory content. Ads for regulated categories (such as financial services, real estate, healthcare and education) are run only with the required licences, registrations and disclaimers, and with the special ad category settings the platform requires.
Clients must not ask us to use personal data obtained without consent, to target or exclude people based on sensitive characteristics, or to make claims that suggest knowledge of a person's personal attributes.
4. No guarantee of results
Advertising outcomes depend on many factors outside our control, such as market conditions, competition, product, pricing and budget. We do not guarantee any specific number of leads, sales, followers, rankings or return on ad spend.
5. Fees and payment
Service fees are as per the agreed quotation and are payable in advance unless otherwise agreed in writing. Advertising spend is separate from our fees. Applicable taxes will be charged as per law. Late payment may result in pausing of services.
6. Intellectual property
Upon full payment, the final creatives produced specifically for the client become the client's property. We may display non-confidential work in our portfolio unless the client requests otherwise in writing. Materials provided by the client remain the client's property.
7. Confidentiality
Both parties will keep confidential any non-public business information shared during the engagement.
8. Limitation of liability
To the maximum extent permitted by law, our total liability for any claim shall not exceed the service fees paid by the client to us for the month in which the claim arose. We are not liable for indirect or consequential losses, or for actions of third-party platforms.
9. Termination
Either party may end a monthly engagement by giving written notice as specified in the proposal (generally 15 days). Fees for work already performed remain payable. See our Refund & Cancellation Policy.
10. Website use
You agree not to misuse the Website, attempt unauthorised access or use its content for unlawful purposes. Content on this Website is for general information only.
11. Governing law
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts at Gurugram, Haryana.
